End User License Agreement

1COMPANY INFORMATION

This Software is owned and licensed by:

2DEFINITIONS

For the purpose of this Agreement:

Software / Plugin

DigiSync WordPress Plugin and all related files, documentation, source code packages, and updates.

License Key

Any license code issued to activate the Software.

Website

One (1) WordPress installation or one (1) domain where the plugin is installed.

License Package / Plan

The purchased plan defining the maximum number of websites allowed.

Subscription Plan

The monthly or yearly plan purchased to access updates and support.

One-Time Purchase

A single payment plan which grants access to the plugin, without recurring billing.

3LICENSE GRANT

Subject to your compliance with this Agreement and successful payment, DigiConceptry grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install and use DigiSync based on the purchased license package.

You may install DigiSync on the number of websites included in your package, such as:

• 5 Websites License
• 100 Websites License
• Unlimited Websites License

You may not exceed the maximum number of activations allowed by your package.

5MULTI-WEBSITE LICENSING RULES

Your DigiSync license is valid only for the number of websites specified in your purchased package.

6RESTRICTIONS AND PROHIBITED USE

You agree that you will NOT, under any circumstances:

• resell, rent, lease, sublicense, distribute, or commercially share the plugin or its source code,
• share your license key with any third party,
• publish or redistribute the plugin publicly (including GitHub, forums, or file-sharing platforms),
• modify, edit, translate, adapt, or create derivative works from the plugin source code,
• reverse engineer, decompile, disassemble, or attempt to extract the source logic of the plugin,
• bypass licensing verification systems,
• distribute "nulled", cracked, or unauthorized versions of DigiSync,
• use DigiSync for illegal activities or in violation of applicable laws.

Any violation may result in immediate termination of your license without refund.

7OWNERSHIP AND INTELLECTUAL PROPERTY

DigiSync is licensed, not sold.

All rights, title, and interest in the Software (including source code, UI, branding, logic, documentation, and related intellectual property) remain the exclusive property of DigiConceptry.

You do not acquire ownership rights to the Software by purchasing or using it.

8DELIVERY METHOD

DigiSync is delivered as a source code package.

You acknowledge that:

• the Software is a digital product,
• delivery may be performed electronically,
• once delivered, access to the Software is considered provided.

9PAYMENTS AND THIRD-PARTY PAYMENT PROCESSORS

Payments may be processed through third-party payment providers including:

• Stripe
• PayPal

DigiConceptry does not store your payment card details directly.

You agree to comply with Stripe and PayPal terms and policies when purchasing DigiSync.

10REFUND POLICY

• Refund requests must be submitted within 7 days of purchase.
• Refunds are granted only if the plugin is not functioning as described, and our support team is unable to resolve the issue.

Refunds may be refused if:

• the customer requests a refund without providing reasonable troubleshooting access,
• the plugin was used in a way that violates the EULA,
• the customer performs a chargeback instead of contacting support first,
• the customer purchased the plugin, downloaded it, and used it extensively for production deployment (at our discretion).

11UPDATES AND SUPPORT

12USER RESPONSIBILITY AND BACKUPS

You are solely responsible for:

• maintaining website backups,
• protecting your WordPress environment,
• ensuring compatibility with hosting/server configurations,
• maintaining WooCommerce and WordPress updates properly.

You acknowledge that installing plugins can affect website behavior, performance, and compatibility.

13DATA STORAGE AND DATABASE USAGE

DigiSync stores operational data in a database environment powered by NEON database services.

You acknowledge that:

• the plugin may store data required for functionality,
• DigiConceptry does not claim ownership over your business data,
• you remain responsible for the accuracy and legality of stored data.

DigiConceptry does not intentionally collect personal user data for marketing purposes.

14DISCLAIMER OF WARRANTIES

The Software is provided "AS IS" and "AS AVAILABLE", without warranties of any kind.

To the maximum extent permitted by law, DigiConceptry disclaims all warranties, including but not limited to:

• merchantability,
• fitness for a particular purpose,
• non-infringement,
• uninterrupted availability,
• error-free performance.

We do not guarantee that DigiSync will be compatible with all WordPress themes, plugins, or hosting environments.

15LIMITATION OF LIABILITY

To the maximum extent permitted by law, DigiConceptry shall not be liable for any damages, including but not limited to:

• loss of profits or revenue,
• business interruption,
• loss of data,
• website downtime,
• WooCommerce sales disruption,
• server crashes or plugin conflicts.

You agree that you use DigiSync at your own risk and that you are responsible for backups and system safety.

In any case, DigiConceptry's maximum liability shall not exceed the total amount paid by you for the Software in the last 30 days.

16TERMINATION

This Agreement is effective until terminated.

Your license will be terminated immediately without notice if:

• you violate any term of this Agreement,
• you perform a chargeback or payment dispute,
• illegal usage, cracking, or license abuse is detected,
• you distribute the plugin or its source code.

Upon termination, you must:

• stop using DigiSync immediately,
• delete all copies of the plugin and source code from your systems.

Termination does not entitle you to a refund.

17CHARGEBACK POLICY

Chargebacks are strictly prohibited without prior communication with DigiConceptry.

If you initiate a chargeback:

• your license will be revoked immediately,
• your access to support and updates will be terminated,
• your account may be permanently banned.

18TRANSFERABILITY

You may not sell, transfer, assign, sublicense, or give away your license key or access rights to any other person or entity.

19GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and interpreted under the laws of the United States of America (USA), without regard to conflict of law principles.

Any disputes arising under this Agreement shall be resolved in a competent court located in the United States.

20SEVERABILITY

If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

21ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between you and DigiConceptry concerning DigiSync and supersedes any prior agreements or communications.

22CHANGES TO THIS AGREEMENT

DigiConceptry reserves the right to update or modify this Agreement at any time.

If changes are made, the updated version will be published with a revised "Last Updated" date. Continued use of DigiSync constitutes acceptance of the updated terms.
